Changes to the Terms of Use
We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter.
Your continued use of the Services following the posting of any revised Terms of Use means that you accept and agree to the changes. You are expected to check this page frequently, so you are aware of any changes to the Terms, as they are binding on you.
Accessing the Services and Account Security
We reserve the right to withdraw or amend the Services and any offering or material we provide on the Services, in our sole discretion without notice. We will not be liable if, for any reason, all or any part of the Services is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to the Services or some parts of the Services.
You are responsible for both:
- Making all arrangements necessary for you to have access to the Services.
- Ensuring that all persons who access the Services through your internet connection are aware of these Terms and comply with them.
To access the Services or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Services that all the information you provide is correct, current, and complete. You agree that all information you provide to register on the Services or otherwise, including, but not limited to, through the use of any interactive features on the SGO Websites, is governed by the SGO Privacy Policy, and you consent to all actions we take with respect to your information consistent with our privacy policy.
User Contributions
The Services may also include photo galleries, e-mail services, discussion boards, chat services, personal stories, forums, personal or enhanced web pages, event calendars, and other additional services (“Enhanced Services”). You are fully responsible for all content, including but not limited to registration data, photos, videos, comments, text, documents and other information that you upload, enter, or post using the Services (“User Submissions”). You agree that you will not upload any User Submission that infringes or violates any rights of any party or that compromises the privacy of any person or patient. In particular, you are specifically prohibited from posting or transmitting to or from the Services (i) any unlawful, threatening, libelous, defamatory, obscene, pornographic, or other material or content that would violate rights of publicity and/or privacy, or that would violate any law; (ii) any commercial material or content (including, but not limited to, solicitation of funds, advertising, or marketing of any good or services); and (iii) any material or content that infringes, misappropriates, or violates any copyright, trademark, patent right, or other proprietary rights of any third party. You further agree that you will not use any of the Enhanced Services to:
- conduct or post personally identifiable information on any person or patient;
- upload any files containing programs, scripts, or other software of any type; or

You shall be solely liable for any damages resulting from any violation of the foregoing restrictions or any other harm resulting from your posting of content to the Services.
By providing any User Submission, you agree that it is non-confidential for all purposes and is nonproprietary. You hereby grant SGO an irrevocable, worldwide, royalty-free, perpetual, transferrable, and fully sublicensable right and license to (a) use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from, and publicly display and perform any and all such User Submissions throughout the world in any media, now known or hereafter devised and (b) use the name that you submit in connection with such User Submission. You expressly waive any and all “moral rights” (including rights of attribution or integrity) that may exist in your User Submissions and agree that you have no objection to the publication, use, modification, deletion, or exploitation of your User Submissions by SGO, or any SGO partners or licensees. You acknowledge that SGO may exercise its rights (e.g., use, publish, delete) to any content you submit without notice to you. SGO has no obligation to post your comments and reserves the right in SGO’s sole and absolute discretion to determine which comments are published as part of the Services. You acknowledge that SGO may choose to provide attribution of your comments or reviews at its discretion and that such User Submissions may be shared with SGO’s affiliates, partners, supplier partners, or licensees. You further grant SGO the right to pursue at law any person or entity that violates your or SGO’s rights by a breach of these Terms. If you do not agree to these Terms, please do not provide us with any User Submissions.
The contributions of third parties do not necessarily represent the views or opinions of SGO. SGO cannot preview User Submissions before they appear.
SGO’s policies with respect to claims by third parties that the Services, including any User Submission, infringes the copyrights owned by such third party can be found in the Digital Millennium Copyright Act section below.
You agree to indemnify, defend, and hold harmless SGO, its affiliated companies, business partners, licensors, employees, agents, and any third-party information providers to the Services from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary and indirect damages), and reasonable attorneys’ fees, resulting from or arising out of your use, misuse, or inability to use the SGO Websites, the Services or SGO Content, or any violation by you of the Terms.

You may be able to access provider information from the Services. However, although SGO has obtained the information provided on the Services concerning physicians (including specialty, credentials, and training) from sources believed to be reliable and accurate, SGO makes no guarantee or warranty as to the accuracy, timeliness, or completeness of that information.

Disclaimers
SGO makes no express or implied warranties, representations, or endorsements whatsoever with respect to the SGO Websites, the Services, or SGO Content. SGO expressly disclaims all warranties of any kind, express, implied, statutory, or otherwise, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement, with regard to the SGO Websites, the Services, SGO Content, and any product or service furnished or to be furnished via the SGO Websites. The SGO Websites, the Services, and SGO Content are provided on an “as is” and “as available” basis.
In no event will SGO be liable for any damages whatsoever, including, but not limited to any direct, incidental, consequential, special, exemplary, or other indirect damages arising out of (i) the use of or inability to use the SGO Websites, the Services, or SGO Content: (ii) any transaction conducted through or facilitated by the SGO Websites; (iii) any claim attributable to errors, omissions, or other inaccuracies in the SGO Websites, the Services, and/or SGO Content; (iv) unauthorized access to or alteration of your transmissions or data; or (v) any other matter relating to the SGO Websites, the Services, or SGO Content, even if SGO has been advised of the possibility of such damages. If you are dissatisfied with the SGO Websites, the Services, SGO Content, or with these Terms, your sole and exclusive remedy is to discontinue using the Services. Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.
